These Terms and Conditions ("Terms") govern your use of our AI software solution ("Software") provided by SiteCheck ("Company," "we," "our," or "us"). By accessing or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Software.
1. Acceptance of Terms
By using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Software.
2. Changes to Terms
We reserve the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Software after the posting of changes constitutes your acceptance of such changes.
3. Use of the Software
3.1 Eligibility: You must be at least 18 years old to use the Software. By using the Software, you represent and warrant that you meet this eligibility requirement.
3.2 License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Software for your personal or internal business purposes.
4. Data Ownership
4.1 Original Customer Data Ownership: User or organization data that is uploaded to the Software will retain its original ownership assignment, such as by the Customer. The customer can at any time remove this data from their Software and terminate access to it by SiteCheck. This data will not be replicated, shared or disclosed to any third party by SiteCheck, and will be safeguarded using industry best practices.
4.2 Generated Date Ownership: All data generated by or from Original Customer Data in the Software will be solely owned by SiteCheck. This generated data includes, but is not limited to, any AI-generated text, reports, question answers, documents, visual content, or usage analytics, and insights produced by the Software.
4.3 Data Usage: You grant SiteCheck a worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, distribute, and display any data you input into the Software for the purpose of providing and improving our services. In cases where this generated data contains sensitive Customer or user information in the form of PII or IP, SiteCheck strives to remove any sensitive, identifiable or proprietary aspects of this data when re-purposing or re-using any part of such data beyond the Customers environment. Please refer to our Privacy Policy for more details on how we handle your data responsibly.
5. Accuracy of Information
5.1 User Responsibility: While we strive to provide accurate and reliable information through our Software, it is the sole responsibility of the user to double-check and ensure the accuracy of any information provided by the Software.
5.2 No Liability: SiteCheck assumes no liability for any incorrect or inaccurate information generated by the Software. You agree that you use the information at your own risk and acknowledge that SiteCheck is not responsible for any consequences arising from the use of such information.
6. Limitation of Liability
To the fullest extent permitted by law, SiteCheck, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Software; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Software; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Software by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Software.
7. Indemnification
You agree to indemnify, defend, and hold harmless SiteCheck, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any rights of another; or (d) your conduct in connection with the use of the Software.
8. Termination
We may terminate or suspend your access to the Software immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use the Software will cease immediately.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms shall be instituted exclusively in the federal or state courts located in British Columbia, Canada.
